Terms of Use

These Terms are an agreement between you and Assignly. By downloading, creating an account, purchasing, or using Assignly, you agree to them and acknowledge our Privacy Policy. If you do not agree, do not download or use the service.

Eligibility

You must be at least 13. If you are under the age at which you can enter this agreement or consent to data processing where you live, a parent or legal guardian must review and agree to these Terms and the Privacy Policy for you. Do not use Assignly if that permission is required and has not been given. Schools may impose additional rules or age requirements.

The service

Assignly is a desktop study and assignment-workflow app for students using Canvas LMS. You connect through your school's existing Canvas login. Features, supported Canvas surfaces, AI providers, and availability may change. We may pause features for maintenance, safety, legal compliance, provider outages, or abuse prevention.

Your license

Assignly gives you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the app for lawful educational purposes while these Terms apply. You may not sell, rent, sublicense, copy, reverse engineer, or commercially exploit the service except where applicable law gives you a non-waivable right to do so.

Accounts and security

Canvas browsing and the one-time trial do not require an Assignly account. Paid checkout uses Stripe and requires Google or Discord sign-in. You are responsible for access to your device, linked accounts, and activity performed through them. Do not share a signed Assignly device session. Tell us promptly if you believe an account or session has been compromised.

Your content and Canvas access

You keep ownership of content you provide and of rights you hold in your coursework. You give Assignly limited permission to process that content only to provide, secure, support, and improve the service as described in the Privacy Policy. This includes sending selected content to an inference provider when you request an AI feature, including a processed screenshot of the visible Canvas or publisher page when you enable visual quiz help. We do not use coursework to train models. You represent that you are allowed to access the connected Canvas account and provide the content used with Assignly.

Plans, renewal, and cancellation

• The free trial includes three AI drafts and does not require a card or convert automatically.
• Monthly Pro is billed every month until canceled.
• Annual Pro is billed every year until canceled.
• The Semester pass is a one-time payment and does not renew. It lasts until the later of the next semester boundary shown at checkout or 30 days after purchase.

Current prices and billing frequency appear before payment in Stripe Checkout. Taxes may be added where required. Cancel a recurring subscription through Customer Portal or by emailing us before the next renewal. Cancellation stops future renewal and normally leaves access active through the paid period. Deleting the app or signing out does not cancel billing.

Refunds

You may request a refund of your first paid Assignly purchase within 14 days by emailing[email protected]. Renewals and later purchases are generally non-refundable, but we will correct duplicate or unauthorized charges and provide any refund or cancellation right required by the law where you live. A refund may end the related paid access.

Academic integrity

Assignly is a study assistant, not a substitute for your judgment. You are responsible for your work and your school's academic-integrity rules. Review and submit everything yourself. AI drafts, quiz help, and Sage responses are suggestions and can be incomplete or wrong. Assignly does not guarantee a grade or that a particular use is permitted by your school.

Acceptable use

• Use Assignly only with accounts and material you are authorized to access.
• Do not bypass usage, payment, session, safety, or school controls.
• Do not disrupt the service, probe other users' data, distribute malware, attack systems, or scrape unrelated sites.
• Do not use Assignly for unlawful conduct, harassment, impersonation, fraud, or infringement.
• Do not use AI output without reviewing it or misrepresent it in violation of applicable school rules.

Third-party services

Canvas, Google, Discord, Stripe, OpenRouter, Gemini, Cerebras, Groq, PostHog, and other providers have their own terms and policies. Assignly is not affiliated with or endorsed by Instructure or Canvas LMS. We are not responsible for a third party's service, policy, outage, or decision to restrict access, but this does not remove responsibilities Assignly has under applicable law.

Suspension and termination

You may stop using Assignly at any time. You may disconnect Canvas, cancel billing, and request account or data deletion separately. We may limit or suspend access when reasonably necessary to prevent abuse, protect users or systems, comply with law, or address a material breach of these Terms. Where practical, we will explain the reason and provide a way to contact us.

Disclaimers

To the maximum extent permitted by law, Assignly is provided “as is” and “as available.” We do not promise uninterrupted operation, error-free Canvas compatibility, accurate AI output, or a particular academic result. Some jurisdictions provide warranties or consumer rights that cannot be excluded; nothing in these Terms limits those rights.

Limitation of liability

To the maximum extent permitted by law, Assignly is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost grades, opportunities, profits, or data arising from use of the service. Assignly's total liability for a claim will not exceed the greater of the amount you paid Assignly during the 12 months before the claim or US $50. These limits do not apply where prohibited by law, including liability that cannot legally be limited for fraud, willful misconduct, personal injury, or mandatory consumer protections.

Disputes and local rights

Contact [email protected] first so we can try to resolve a concern informally. You may bring a claim in any court or consumer forum that has lawful jurisdiction. These Terms do not take away mandatory rights or remedies available where you live.

Changes to these Terms

We may update these Terms as the service or law changes. For a material change, we will provide reasonable advance notice through the website, app, or account email when practical. Security, legal, or provider changes may require faster notice. Continued use after the effective date means you accept the revised Terms; if you do not agree, stop using the service and cancel any renewing plan.
